1. Services and Project Scope

offers website design, mobile application development, full-stack programming, and software consulting services. The specific features, page counts, backend flows, and integrations will be detailed in the approved project proposal document.

Any feature request or modification that is not explicitly defined in the original project proposal will be considered a "Change Request". Change Requests are subject to separate analysis, feasibility review, cost estimates, and timeline adjustments.

2. Client Cooperation & Materials

The timely delivery of the software relies on client cooperation. The client agrees to:

• Provide all necessary website copy, logos, images, fonts, and brand assets within agreed timelines.
• Provision credentials, sandbox keys, and server access details where required for development.
• Provide clear, constructive feedback on designs and prototypes within 5 business days of submission.

3. Intellectual Property (IP) and Source Code Ownership

All source code, database structures, UI mockups, graphics, and server configuration scripts developed by remain the intellectual property of during the development phase.

Upon completion of the final project milestone and receipt of full and final invoice payments, the intellectual property rights and full source code ownership are immediately and unconditionally transferred to the client.

4. Project Delays & Inactivity Fee

If a project is halted or delayed for more than 45 consecutive days due to client inactivity (such as lack of feedback, missing content, or unpaid milestones), reserves the right to:

• Temporarily reassign developers to other active projects.
• Issue an interim invoice for the exact percentage of work completed up to that point.
• Charge a project reactivation fee (typically 10% of the remaining contract value) to set up resources again.

5. Limitation of Liability & Warranty

offers a standard 30-day bug-free warranty starting from the deployment date to production. During this warranty, we resolve any bugs or functional deviations from the original scope at no cost.

We are not liable for:

• Post-launch errors caused by client-side code modifications or server credential breaches.
• Outages, downtime, or security issues caused by third-party hosting services, API changes, or payment gateway failures.
• Any indirect business loss, loss of profits, or data corruption that happens during or after the deployment process.
